CJ Roberts now handles emergency petitions from the US 4th Judicial Circuit. Of interest is the 4th Circuit's Eastern Div of North Carolina's historic criminal case of US v Dr Jeffrey MacDonald. US v MacDonald results from dirty cops covering up for the perpetrators of mass , committed by young offspring of law enforcement personnel at & near Ft Bragg, NC in February 1970, 36 yrs ago this month.

Yet, despite the apparent consensus that insufficient deterrence of frauds from corporate agents such as CEO, COO, CCO, CFO, independent auditors, internal auditors, other top management, corporate law firms, underwriters, lenders, investment banks, stock analyst, venture capitalist, current board of directors, auditing committee financial experts is to blame for the debacle like Enron, WorldCom and Tyco. It is why Pdt Bush did create the corporate Fraud Task force by Executive order number 13271 on July 9. 2002. It is to punish corporate wrong doers and combat corporate fraud. This dream team based in Washington, DC provides direction for investigation and prosecution of all US cases around the US regardless of State, of securities fraud, accounting fraud, Medicare fraud, Medicaid fraud, election counting fraud, mail and wire fraud, money laundering, tax fraud based on offenses and other related financial crimes committed by commercial entities, board of directors, Executives, professional advisors and employees. And he did add that 'I say as plainly as I can to CEOs if you break the law, we will hunt you down, we will arrest you and we will prosecute you'

But, even though CEO of the US law firm and Attorney General John Mitchell, former Justice Chase, Pdt Clinton did date the sentencing system, the new corporate crime guideline is too scary for the market because the sentencing judge's hands are tied since she/he can only depart from this sentencing guideline if and only if she/he is willing to send a report to Capitol Hill bureaucracy's micromanagement establishment. For example a late 30s Enron executive who will plaed guilty to securities fraud will be sentenced based on this new Sarbanes-Oxley Sentencing guideline used by the judge to determine sentences for individuals convicted to Federal corporate crimes. Corporate governance regulators and academics, corporate managers and their assistors can calculate what this young executive's sentencing might be before the judge discretion and possible good behavior reduction. It will equal to seven for basic offense level plus thirty for 100 Million dollars plus of loss plus six for 250 plus victims plus two for endangerment of one public company plus four for violation of securities law while he was Enron executive plus two for abuse of position minus three for pleading guilty. This figure results in 40 levels or life sentence in jail instead of 35 levels or 168 month or 14 yaers minimun in jail with previous guideline. The interpretation of these numbers is that the new guideline will force this young man to leave this free world for good in his late 30s when previously he was called to reenter this free World in his late 40 after paying the former guideline. Understanding this legal change quantitatively will build grounds for a serious and non reflexive review by regulators and their advisors. Based on this assessment, the US judge could sentence this young executive who is a real first time criminal, from 14 years to 15 years 10 months in jail with previous guideline. But under the new guideline, the US judge has only one option, a life sentence in jail for this young Enron executive. And, the US judge can only dowward depart from this range and sentence him to 15, 20 or 25 years in jail if and only if he successfully argues for serious mitigating factors including cooperation to the prosecution of co-defendants.
That said, will the liability court balance for the low level manager or CEO and director, that is the question to the US court ruling alone, not the media, to answer for years to come.

Years ago, I did choose Al Gore (does not want to follow advises to disassociate himself from the Clintons, they want him to work for them for life, they will create another electoral distraction again) while focusing on house ownership because he looked very sincere to me, a human politician. I truly did fail in love with working families economy plan. I truly believe it could have kept this good economy trend then.
But, I am neither Al Gore nor Karenna Gore on top of that I do not care about ozone, global warming.
That said, the Post J.D certificate program in response to corporate fraud, I did propose and waiting for is not a political game. Students and teachers (including Sec Bob Rubin, AG Janet Reno) are chosen based on their academic excellence alone. They are democrats, GOP, non partisans since political speech is prohibited inside my program classrooms at all time. It is to redress paganism, faces and acting, it is why no local University will host this program. If Harvard Law School does NOT implement this program at its main campus,(I hate this educational discipline, University of Pennsylvania, but my last call to Harvard Law School Dean offices through HBS 1-800 did show that it is still happening to my mails,..)
In sum, you must know that I was brought in this country during the Bush 41 era by a White man. This white man did send me to a White school. CHIEF COMPLIANCE OFFICER (CCO) AS PRE AND POST LEGAL CRISIS MANAGER (ENRON PREVENTION)
After a series of regulatory implementation including Sarbanes Oxley corporate accountability Act, questionable internet privacy, medical privacy rules, the patriot Act of 2001, which requires financial institutions to collect and maintain identity records of customers and corporate indictments that can wipe out Billion dollars on the company balance sheets, the emerging corporate leadership role is the Chief Compliance Officer. In some industries like healthcare, utilities, construction, financial services and government contracting, the Compliance Officer role is NOT new. It did help these industries to either achieve strategic accreditation or comply with regulations. But even for companies with established compliance programs and leadership in place, the recent accounting scandals, court settlement, implementation and the Sarbanes-Oxley Act of 2002 have granted this position a more senior company level and responsibilities including adaptation to rapid changes in the organization's leadership, new regulations and post sentences and settlements. This role is difficult if a company is facing large fines, lawsuits, criminal penalties and compliance sentences for past breaches and huge civil lawsuits payouts. He or she must manage the cost and risk trade off of compliance efforts. Whether the CCO has legal, financial or both backgrounds, he or she , acting as impartial judge and cost effective manager, must focus on; how should resources be planned for and allocated across the different compliance and accreditation requirements? Is the organization spending too much or too little? Does the organization have a way to assess the likelihood end impacts of events such as a missed deadline, contempt charge or a surprised audit finding and, does the organization have a planned response for high risk/high impact situations? Today's corporate leadership will not allow the compliance function to wait too long before its recognition as a contributor to bottom line results, rather than a nuisance factor or expense that diverts from the strategic goals of the organization. It is why quick to change companies are recruiting corporate finance oriented JD with knowledge of Securities Exchange Act of 1934, Securities Act of 1933, compliance and other specialized regulations. The ideal interviewing candidates for this position is expected to have a very strong analytical abilities, excellent communication skill to interact with Senior Executives, Executive committee' members and board of directors, excellent drafting skill of policies and procedures with obsessive regard for detail. CCO must also have the ability to identify and analyze regulations, develop and enforce policies, monitoring system and procedure on top of strong managerial skills. That means before the CCO walks down the executive building hall to talk with any Senior Executive about compliance implementation, he or she needs to identify the capabilities required that will maintain controls and promote actual and un-fraudulent data within regulatory framework; the deadlines, the compliance and legal team members, the government jurisdiction or/and business units involved. CCO is called to think quickly and freely make decisions impacting today and long term health of the company. Constant changes and enforcement and CEO's indictments in the corporate World will force slow to change companies' leadership to empower this position. For years to come, Chief Compliance Officers will understand that simply identifying and maintaining the existing compliance systems will neither keep pace with the ever changing compliance environment nor deliver the dramatic improvements that could provide a competitive advantage. The, CCOs will need to establish a market oriented system which will improve the firm's ability to maximize short term and long term operating data while minimizing regulatory and lawsuits related costs. In the post enron culture, companies must focus on self governance by putting a good faith and compliance efforts , to promote an ethically sound culture strategy for a potential good respondeat superior defense that means its employee-defendant was knwingly, willfully doing it on her/his own beyond the training, orientation, peer review, standard and well defined scope of employment, he or she did receive from the company. To close, the question has always been at what point does it transcend from being dumb, inattentative, careless or lazy to a matter of bad faith, disloyalty and pochet fill-up? the enron case and other corporate fraud cases are cases that show, it is possible to cross this line.

When managers who learn that their companies have low expected value, can or do misreport, the misreporting would enable them to get out with substantial ROI before the market learned that the company's value will salvage soon. The selling of shares by managers of Enron enabled them to get out with substantial ROI before the market learned that the company's value was just paper value and lower than expected so Martha Stewart with Imclone share before FDA release of non approval. This is the rule, the greater managers freedom to sell own holdings in the short term, the greater the increase to misreporting. The market ability to identify managerial selling depends on whether and how frequently sales must be disclosed to the public, regulator nad market place. Years ago, power through sport, politic and activism channels and recruitements did lure good students from classrooms to quick powered succession promised positions and paychecks and alike. But only a few of them including Al Gore, Jesse Jackson,..did make it. Some of them went back to fix this matter. Less successful did end up on psycho-somatic life supports for the rest of their lives. It is why I call myself an accidental genius who will focus on my exit strategy regardless of what will show up in the newspaper, TV or radio for days, months or years to come. There is nothing wrong for this group of people to believe in EASY WRONG strategies including transfer of sites, sex and gender changes, transplant of faces and power but I did rule years ago against this creative membership in the 'sniper' group since this country is the result of hard work and good life. When it comes to hard work, The University President and fellow foreign born who did bring me in this Country was a result of hard work. Years ago, he became U- President in his mid 40. I could recall how to get informal meetings with him early around 7 AM since he was a (FILO) in the building, "First in and Last out". Quick Refreshment, baby doc(g), Hillary Clinon Inc, as a case study. 5 years ago, her P/E ratio was too high thanks to our fellows democratic media with the belief that she will move beyong all the GATES, she did contribute in the Bill Clinton era, then, it was a forced resignation and fundraising for the clinton in lieu of presidential succession. Now, the result is clear, no bill, no major vote, just Gov't bodyguards around Hart, Dirsken, next to her office building (russell). Then P/E ratio for Hillary Clinton Inc was too high, it was mediatic over-valued, only good for gates- troubles., today, this market is not buying more than x dollars for every x dollar earned by Hillary Clinton Inc. Can we discriminate Military by keeping from our main campus just because they use Surgeon General warning, 'Do not ask don't tell'? Law Schools (a lot) around this nation did. They claim to teach law while down playing health hazard.
These same law schools did advise public officials to protect young people by keeping them from buying tobacco, beer, and wine unless they show their 18 years old plus proof; I do not go Bar, night clubs because I believe they abuse this enforcement by asking me to show my ID. Do I look 18? What about driving, why not let a 10 years old doing it?,... all these regulations did reduce lung cancer death (early one), teen accident and others, Thank you! The military is just following the same Surgeon General warning by reducing the number of Military STD,... (very close ecosystem), kissing while in the Work place,...Do you actually want your boy death before your retirement just because it did have anal sex with a man? It is easy for 'puppy love' three men chain, boy A will have anal sex with boy b, boy b will have anal sex with boy c, ... and one of them will put all of them in trouble. While boy a was strugling with his early dating, he was afraid to talk to girls (opposite) or vice versa,... He was not asked for date and nobody to play the middle man, (fixer-up,..). POLICE JOB OR NOT

I subscribe to the idea that once my sleeping tool in safe area, I will start answering all the challenges made to me in the past FACE TO FACE.
I am a 7/97 Executive cert. member but I did consider the Federal Fraud prosecution job. It is not a police job. For me, a prosecutor or FIRST judge must be fair to the public he does serve as well as people working for him. It will give him opportunity to stop bad apples who are there for power instead of doing their job and collecting a paycheck.
That said it is unacceptable that some one else can decide for me. How can I be a Police officer w/o application? ever though I did apply for it, I can decide to change my mind.
Did I hire a counsel?, no. I email people and send them mails to negotiate a deal. Legally, It must be acceptance and clarity of the offer. Do not write your show in any newspaper, if It is NOT clear to me, NO k. I own 3 active available e-mail addresses, I check them twice daily (6 days weekly). If you did violate my rights, one day you will be accountable. Forced enlistment or not as a Police officer, I blame decision makers who enjoy the show with their silence, doing or undoing while I suffer. This year, Jo Maloney, last e-mail to my inbox on 03/23/06, is the one sending me these e-mails, Corporate Governance Harvard data. Prof Lucian Bebchuk is our real Chief 'Governor' Research but I do not believe that we completely agree when it comes to his opposition to high Executive pay, non liberal Working paper titled "Pay w/o performance: overview of the issues."
Why?
the media increasing fascination w/ market, corporate report & CEO compensation is based on big number associated w/ stock based compensation. The high increase from cash based senior executive compensation to stock based compensation did take place in the 1990's. W/ this change, management became focused not simply on the relationship bw market price and real value of the company, but also the likely future performance score card of their firm's stock. In contrast to cash based compensation, equity compensation induced management to focus on their firm's day to day share price with a 'TIP'. This ecosystem did facilitate the ability of managers to BAIL OUT troubled companies with performance checks in their pockets. Because, as manager's pay percentage tied to stock rise, manager concern about the stock price health increases. Since stock option PAY OFF INCREASES ONLY when a company reaches a pre-set performances but unlike stock itself, does not penalize on the downside but for CEO it is a penalty based on opportunity earning theory. That means only too wealthy stock option package can create a distinctive moral hazard problem. It is clear to any one in this business that manager will be strongly tempted to produce the financial results the market expects through manipulation of financial results if NECESSARY or just CREATIVE COST EFFECTIVE CULTURE IMPLEMENTATION in order to put his bidding salary, previously published salary or paper salary in his pocket.
For example, additional earning per share of $0.70 for a company w/ P/E ratio of 20 means an appreciation in share price of $14. This is an interactive multiplier of the effects of this compensation on the company's value.
But the question to be answered, how much of the PUBLISHED compensatiopn will end in the executives' pockets after helping the company to grow is our guideline difference in NO limitation of the market creativity because PUBLISHED performance compensation package is NOT a real performance compensation package
